Terms of Service

Last updated: July 20, 2026

These Terms of Service govern your access to and use of the BayEdger website, diagnostics, digital resources, and services. By using this site or engaging with BayEdger, you agree to these Terms. If you do not agree, do not use the site.

1. About BayEdger

BayEdger LLC is a California limited liability company that provides digital growth, operational improvement, diagnostic, advisory, implementation, and related business services for growing local businesses.

2. Acceptance of Terms

By accessing or using the BayEdger website, requesting a Lead Leakage Diagnostic, submitting a form, or otherwise engaging with BayEdger’s services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the site or engage with BayEdger’s services. We may update these Terms from time to time; continued use of the site after changes are posted means you accept the updated Terms.

3. Eligibility

You must be at least 18 years old and have the authority to act on behalf of the business you represent to use this site or engage BayEdger’s services. By using the site, you represent that you meet these requirements.

4. Services Provided

BayEdger may provide services and resources including business diagnostics, digital growth planning, operational systems improvement, follow-up and lead management support, client experience improvement, implementation support, digital resources, and future platform-based tools or client portals. The specific services available to you may vary and are described in more detail during a consultation, diagnostic, or separate service agreement.

5. Consultations, Diagnostics, and Service Agreements

The Lead Leakage Diagnostic and any other consultation or diagnostic offered by BayEdger is a review of your business’s current processes and opportunities, intended to help identify where improvements may be possible. It is not a guarantee of any specific finding, recommendation, or outcome. Any services beyond an initial consultation or diagnostic — including ongoing advisory, implementation, or operational support — may be governed by a separate written agreement, proposal, or statement of work, which will control over these Terms to the extent of any conflict.

6. Payments and Billing

Some BayEdger services, resources, or engagements may require payment. Where payment applies, pricing, payment terms, and invoicing will be communicated to you separately for that service or engagement before you are charged. You are responsible for providing accurate billing information and for any fees you agree to pay. These Terms do not, by themselves, establish pricing for any specific service.

7. Digital Resources and Future Platform Features

BayEdger may make digital resources available to you now or in the future, including templates, guides, tools, dashboards, client portals, or subscription-based offerings. Access to any digital resource may be subject to additional terms specific to that resource, which will be provided at the time it becomes available. BayEdger may modify, suspend, or discontinue any digital resource or platform feature at any time.

8. Intellectual Property

All content, materials, methodology, frameworks, and tools created or provided by BayEdger — including the BayEdger Growth Framework™ and related materials — are the property of BayEdger LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from BayEdger’s materials without prior written permission, except as reasonably necessary to use the services for your own business. Your own business data, content, and materials remain your property.

9. User-Provided Content

When you submit information to BayEdger — through a contact form, diagnostic, consultation, or otherwise — you represent that you have the right to share that information and that it does not violate any third party’s rights. You grant BayEdger permission to use the information you provide to deliver services to you, respond to your inquiry, and improve how we work with businesses like yours. We will not sell your business information to third parties.

10. Technology-Supported Services

BayEdger may use software, analytics, automation, artificial intelligence, or other technology-supported tools to help deliver services. These tools support the work; they do not replace business judgment, professional review, or client responsibility for final decisions.

11. No Guarantees

BayEdger does not guarantee any specific business result, revenue increase, lead volume, operational outcome, or other measurable outcome from using the site, engaging in a diagnostic or consultation, or working with BayEdger in any capacity. Recommendations provided by BayEdger — whether developed manually, with the support of technology, or both — are intended to inform your decisions, not to replace your own business judgment. You are responsible for deciding whether and how to act on any recommendation.

12. Third-Party Tools

BayEdger uses third-party tools and platforms to help operate the site and deliver services, which may include Calendly for scheduling, Web3Forms for form submissions, payment processors, analytics providers, hosting providers, and other business or technology platforms. These third-party tools have their own terms of service and privacy practices, which are not controlled by BayEdger. BayEdger is not responsible for the availability, accuracy, or performance of any third-party tool, and your use of any third-party tool linked from or integrated with this site is at your own discretion and subject to that provider’s own terms.

13. Prohibited Activities

When using this site, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to gain unauthorized access to the site, its systems, or other users’ information
  • Interfere with or disrupt the site’s operation or security
  • Copy, scrape, or reverse-engineer the site or its content beyond normal browsing
  • Misrepresent your identity or your authority to act on behalf of a business
  • Use the site or BayEdger’s services to submit false, misleading, or fraudulent information

14. Limitation of Liability

To the maximum extent permitted by law, BayEdger LLC and its owners, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the site or services, including but not limited to lost revenue, lost business opportunities, or business interruption, even if BayEdger has been advised of the possibility of such damages. BayEdger’s total liability for any claim arising from these Terms or your use of the site or services is limited to the amount you paid BayEdger, if any, for the specific service giving rise to the claim in the twelve months before the claim arose.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.

16. Termination

BayEdger may suspend or terminate your access to the site or any service at any time, with or without notice, if we believe you have violated these Terms. Any ongoing services governed by a separate agreement will terminate according to the terms of that agreement. Sections of these Terms that by their nature should survive termination — including Intellectual Property, No Guarantees, Limitation of Liability, and Governing Law — will continue to apply after termination.
